1. Agreement and eligibility
These Terms of Service govern your use of the TradeMaker service provided by TradeMaker's operating company ("TradeMaker", "we", "us", or "our"). By creating an account, starting a subscription, or using the service, you agree to these Terms. You must be at least 18 years old and able to enter a binding agreement. If you use the service for an organization, you represent that you can bind that organization.
If you do not agree, do not use the service. We may update these Terms for operational, security, legal, or product reasons. Material changes apply on the stated effective date or, where required, after notice. Continued use after that date means you accept the revised Terms.
2. Research, paper trading, and optional broker connections
TradeMaker is research and simulated paper-trading software. Paper results, positions, balances, gains, losses, alerts, scores, and performance results are simulated. TradeMaker does not custody funds or securities, act as a broker-dealer or investment adviser, or make discretionary trade decisions for you. An eligible user may separately authorize the user's own Alpaca paper or live account through Alpaca's authorization flow. TradeMaker never receives the user's Alpaca password. A live order may be sent only after that separate live connection has been verified, the account owner has explicitly confirmed it, and the account owner separately submits the order.
Nothing in the service is investment, financial, legal, tax, or accounting advice; a recommendation to buy, sell, or hold a security; or a guarantee of performance. Simulated outcomes depend on assumptions and may omit or model market data timing, fees, spreads, slippage, liquidity, order size, market impact, and execution constraints. Actual investing can result in loss, including loss of principal.
3. Accounts and acceptable use
You must provide accurate account information, keep credentials confidential, use a strong unique password, and promptly report suspected unauthorized access. You are responsible for activity under your account unless caused by our failure to use reasonable security measures. We may require verification, reset credentials, or suspend access to protect customers or the service.
You may not circumvent security, access another customer workspace or account, scrape or overload the service, reverse engineer except where law cannot prohibit it, introduce malicious code, use the service unlawfully, misrepresent simulated results as actual performance, or bypass the required authorization and confirmation controls for a live brokerage connection or order.
4. Subscription, payment, cancellation, and refunds
Paid features require an active subscription. Prices, billing periods, included seats, taxes, and renewal terms are presented at checkout. Stripe processes payment information; we do not receive or store complete card numbers. Subscriptions renew automatically until cancelled. You may cancel through the customer billing portal; cancellation takes effect at the end of the current paid period unless otherwise required by law.
Our Refund Policy is incorporated into these Terms. It explains the limited first-payment refund window, non-refundable renewal charges, and how to request support. We may correct pricing or billing errors and will notify you when required.
5. Ownership and feedback
We retain all rights in the service, software, branding, and documentation. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for your internal, lawful paper-trading evaluation. You retain rights in the content you submit, and grant us only the limited rights needed to operate, secure, support, and improve the service.
If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation. Do not submit confidential information unless it is necessary for support.
6. Availability, third parties, and suspension
We aim to operate a reliable service but do not promise uninterrupted, error-free, or loss-free availability. Planned maintenance, security measures, market-data sources, network conditions, and third-party providers may affect the service. Third-party services are governed by their own terms and privacy practices.
We may suspend or limit access when reasonably necessary to address security, misuse, unpaid fees, legal obligations, or material breach. Where practical, we will give notice and an opportunity to cure.
7. Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or profitability. We do not warrant that simulated information is complete, timely, or suitable for any decision.
To the maximum extent permitted by law, neither TradeMaker nor its suppliers are liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or investment losses. Our aggregate liability for claims relating to the service will not exceed the greater of the amounts you paid us for the service in the 12 months before the event giving rise to the claim or US $100. These limits do not exclude liability that cannot legally be excluded.
8. Indemnity, governing law, and contact
You will defend and indemnify TradeMaker and its personnel against third-party claims arising from your unlawful use of the service, your content, or your breach of these Terms, to the extent permitted by law.
The governing-law and dispute-resolution clause is not effective until the governing jurisdiction is configured. Courts or another forum may be required by applicable law to resolve a dispute. Before filing a claim, contact us so we can try to resolve it informally.
